NAME:
The name of this non-profit organization shall be the Organization of State Medical Association Presidents (OSMAP).

PURPOSE:
The purpose of this non-profit organization shall be to further the aims and ideals of organized medicine by: conducting
educational programs for members; dealing with issues of importance to the medical profession and offering an opportunity
for interface between members, thereby enhancing their ability to provide leadership to their state association; to provide an
opportunity for leaders in the constituent associations to improve communication between each other; and to augment
communication between the constituent associations and the American Medical Association.

MEMBERSHIP:
The members of the Organization shall be the presidents-elect, presidents, past presidents and executive directors
(or equivalent) of state medical associations, who are members for life. “Once a member, always a member.”

STEERING COMMITTEE:
The Organization shall be governed by a Steering Committee, which shall consist of twelve (12) members of the Organization,
as follows: the president, three (3) past presidents, the vice president, the secretary, the executive director/treasurer,
and five (5) members elected at large. Members elected at large shall be elected to two, three (3) year terms.
Elections shall be conducted at the time of the annual meeting, and terms shall commence at the conclusion thereof.
The Steering Committee shall have the power to act for the Organization and conduct its affairs. The president of the
Organization shall serve as the chair of the Steering Committee, and shall be continued as a member of the Steering Committee
for three years following the presidency.

OFFICERS:
The officers shall consist of a president, vice-president, and secretary, who are or were elected presidents
of state medical societies, to be elected by the Organization for a term of one (1) year or until their
successors are elected and take office. Their duties shall be those ordinarily associated with their
respective offices. Further, there shall be an executive director who shall also serve as treasurer,
selected by the members of the Steering Committee, to carry out such duties as are assigned by the Steering
Committee.

NOMINATING COMMITTEE:
The Steering Committee shall act as the nominating committee and shall submit nominations to members of
the Organization for the officers and members at large of the Steering Committee at the annual meeting.
Nominations may be made from the floor by any member.

FUNDS:
Each state medical association shall pay $200.00 annually for the participation of its members
(president-elect, president, past presidents, executive director).

MEETINGS:
There shall be at least two (2) meetings a year in conjunction with the meetings of the American Medical
Association. The annual meeting of OSMAP will be in conjunction with the annual meeting of the American
Medical Association. There shall be an interim meeting also in conjunction with the interim meeting of
the House of Delegates of the American Medical Association.

AMENDMENTS:
Amendments to these bylaws may be submitted at any meeting to be acted on at the next regular meeting.
Adoption of the bylaws amendments shall require 2/3’s vote of the members present.

PARLIAMENTARY PROCEDURE:
The deliberations of the Organization shall be governed by parliamentary usage as prescribed in the
current edition of Sturgis Standard Code of Parliamentary Procedure, when not in conflict with these bylaws.
